Terms of Use

These Terms of Use govern your use of Jadwily, an iOS application operated from Kuwait and made available globally to help university students organise and manage their academic semester.

By creating an account or using Jadwily, you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not create an account or use the application.

1. Who You Are Agreeing With

Jadwily is operated by:

Jadwily's headquarters and business operations are in Kuwait. The application itself is global and may be used by students in other countries, subject to applicable laws and these Terms.

2. What Jadwily Is

Jadwily is an academic organisation application designed to help university students manage information relating to their semester.

The application may allow you to:

Organise courses
Record professors and class information
Record deadlines
Organise study sessions
Record class meetings
Record grades and scores
Upload syllabi and other course documents
Ask an AI assistant questions about your academic information
Ask the assistant to propose changes to your academic schedule
Receive reminders and daily summaries
Track other information relevant to your academic organisation

Jadwily is an organisational tool. It is not an official university system, academic registrar, professor, examination authority, or source of official academic records.

3. Who Can Use Jadwily

Jadwily is designed for university students.

You must be at least 13 years old to use Jadwily.

If you are between 13 and 17 years old, you must obtain the permission and consent of a parent or legal guardian before creating or using an account.

By creating an account, you confirm that you meet these requirements and, where applicable, have obtained the required parental or guardian consent.

If you are a parent or legal guardian and believe a minor is using Jadwily without the required permission, contact us at info@jadwily.com.

4. Your Account

You need an account to use the main features of Jadwily.

You may sign in using:

Apple
Google
An email sign in code

You agree to provide accurate information and keep your account access secure.

You should not knowingly allow another person to use your account in a way that compromises your information.

If you believe someone has accessed your account without permission, contact us at info@jadwily.com.

5. Your Academic Information

You remain responsible for the information you enter into Jadwily.

You are responsible for checking that courses, deadlines, schedules, grades, study sessions, class locations, and other information you enter are accurate.

Jadwily does not verify your academic information against your university's official systems unless a particular feature expressly states otherwise.

Your university's official systems, academic records, professors, and other authorised university sources remain the authoritative sources for academic information.

6. The Jadwily Assistant

Jadwily includes an AI powered assistant that can help you work with your academic information.

The assistant may analyse information you provide and information contained in documents you upload.

The assistant proposes; you confirm

When the assistant proposes adding or changing information in your academic schedule, the proposed change is presented to you for confirmation before it is saved.

You should carefully review every proposed change before confirming it.

The assistant can be wrong

AI systems can make mistakes.

The assistant may:

Misread a syllabus
Misinterpret a date
Miss a deadline
Assign information to the wrong course
Misunderstand your message
Produce an incorrect estimate
Give an incomplete answer
Produce information that appears reasonable but is incorrect

You should independently verify important information against your syllabus, university system, professor, or other authoritative source.

Jadwily should not be your only safeguard for an examination, assignment, registration, application, tuition payment, or other important academic obligation.

7. Grades and Estimates

Any grade, score, calculation, projection, or estimate generated by Jadwily is informational only.

It is based on information entered into the application and may be incomplete or inaccurate.

It is not an official university grade or academic result.

You should not make an important academic decision solely on the basis of an estimate generated by Jadwily.

8. Reminders and Notifications

Jadwily provides reminders and summaries as a convenience.

Their accuracy and delivery may depend on:

Information entered into the application
Your notification settings
Your device
Your device's operating system
Your local notification settings
Other technical conditions outside our control

Reminders are scheduled on your device. If you disable notifications or otherwise prevent your device from delivering them, Jadwily cannot guarantee that you will receive them.

You remain responsible for your own deadlines, registrations, examinations, submissions, payments, and other academic obligations.

9. Files You Upload

Your files remain yours.

You give Jadwily permission to store, process, transmit, and use files you upload to the extent reasonably necessary to provide the features you request and as described in our Privacy Policy.

You are responsible for ensuring that you have the legal right or permission to upload and process the files.

University course materials may be owned or controlled by professors, universities, publishers, or other parties. Do not upload material that you are not authorised to use.

Third party document processing

Certain document processing functionality requires us to send uploaded documents to third party service providers.

Where the applicable functionality sends a document to a third party AI provider, the complete document may be processed by that provider.

You should not upload documents containing information that you do not want processed by the relevant third party.

10. Your Content and Our Limited Permission

You retain your rights in content that you own and provide to Jadwily.

You grant us a limited, non exclusive permission to host, process, transmit, reproduce, and otherwise use your content only as reasonably necessary to operate, maintain, secure, and improve the Jadwily services and provide the features you request, subject to our Privacy Policy and applicable law.

This permission ends when the relevant content is deleted, except where information must remain temporarily in backups, is retained under applicable law, or has already been processed or retained by an independent third party under its own policies.

11. What Jadwily Costs

At launch, Jadwily is available without a paid subscription.

You may use the core application without purchasing a subscription.

The AI assistant may have usage limits or a free allowance. When you reach an applicable allowance, the assistant may become temporarily unavailable until the allowance renews, while other parts of Jadwily may continue to operate.

If paid subscriptions or other paid features are introduced in the future, we will provide the applicable pricing, purchase terms, renewal information, cancellation terms, and refund information before or at the time those features become available.

12. Acceptable Use

You agree to use Jadwily lawfully and responsibly.

You must not:

Use Jadwily to commit or facilitate unlawful activity
Attempt to access another user's account or information
Attempt to bypass security or access controls
Probe, scan, overload, disrupt, or interfere with the service
Reverse engineer or attempt to extract source code except where applicable law expressly permits it
Use automated methods to abuse or materially overload the service
Upload malicious code or files
Upload content you do not have the right to use
Use Jadwily to harm, threaten, defraud, or impersonate another person
Attempt to interfere with the operation of third party services connected to Jadwily
Use the application in a way that violates applicable laws or regulations

We may restrict, suspend, or terminate access where reasonably necessary to protect Jadwily, its users, third party providers, or the security and integrity of the service.

13. Third Party Services

Jadwily relies on third party providers and infrastructure to operate certain features.

These providers may include Apple, Google, Supabase, AWS, OpenAI, Resend, Vercel, RevenueCat, and other providers that may be introduced or replaced from time to time.

Third party services are operated independently from Jadwily.

Each third party may have its own:

Terms of service
Privacy policy
Security practices
Retention rules
Account requirements
Availability commitments
Limitations and restrictions

We do not control the independent systems, policies, security practices, availability, retention, or processing decisions of third party providers.

By using a Jadwily feature that depends on a third party service, you acknowledge that the relevant third party may process information as necessary to provide that service and that its own applicable terms and policies may apply.

You are responsible for reviewing the terms and policies of third party services where appropriate.

14. Service Availability

Jadwily depends on infrastructure, software, networks, operating systems, app stores, and third party services that we do not fully control.

The service may occasionally be unavailable, delayed, interrupted, or degraded.

We do not guarantee that Jadwily will always be available, uninterrupted, secure, error free, or compatible with every device or version of iOS.

Reminders that have already been scheduled locally on your device may continue to operate even when certain online Jadwily services are unavailable. However, online features such as the assistant, account data, and uploaded files may be inaccessible during an outage.

15. Intellectual Property

Jadwily, including its software, interface, branding, logos, designs, text, graphics, features, and underlying technology, is owned by or licensed to KODA SWIFT FOR DESIGN AND PROGRAMMING CUSTOM SOFTWARE and is protected by applicable intellectual property laws.

Except as expressly permitted by these Terms or applicable law, you may not copy, reproduce, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from Jadwily or its proprietary components.

These Terms do not transfer ownership of Jadwily or its intellectual property to you.

16. Account Deletion

You may delete your Jadwily account through the application.

Account deletion is intended to remove your account and associated information from our active systems, subject to the limitations and exceptions described in the Privacy Policy.

Deletion may not immediately remove information held in backups, third party systems, legally required records, or other systems outside our direct control.

Deleting your Jadwily account does not automatically delete information held independently by third party providers.

17. Privacy

Your use of Jadwily is also governed by our Privacy Policy.

Account deletion
Privacy rights

By using Jadwily, you acknowledge the processing described in the Privacy Policy.

18. Disclaimers

To the fullest extent permitted by applicable law, Jadwily is provided on an "as is" and "as available" basis.

We do not guarantee that:

Information in Jadwily will always be accurate
AI generated information will be correct
Deadlines extracted from documents will always be correct
Reminders will always be delivered
Grades or calculations will be accurate
The application will always be available
Uploaded files will always be accessible
The service will be free from errors, interruptions, or security incidents

Jadwily is not an official university system and does not replace your university's official records or communications.

Nothing in these Terms excludes or limits any right, warranty, remedy, or liability that cannot lawfully be excluded or limited under applicable law.

19. Limitation of Liability

To the fullest extent permitted by applicable law, KODA SWIFT FOR DESIGN AND PROGRAMMING CUSTOM SOFTWARE will not be responsible for indirect, incidental, special, consequential, exemplary, or similar losses arising from your use of, or inability to use, Jadwily.

This includes, to the extent permitted by applicable law, losses or consequences relating to:

Missed deadlines
Missed examinations
Academic outcomes
Incorrect grades or estimates
Incorrect information extracted from documents
Incorrect information generated by the assistant
Loss or corruption of content
Service interruptions
Third party service failures
Device or operating system failures
Reliance on information provided through Jadwily

Nothing in these Terms limits liability where doing so would be unlawful or would remove rights that applicable consumer protection law does not permit us to exclude.

20. Indemnification

To the extent permitted by applicable law, you agree to be responsible for claims, losses, liabilities, damages, costs, and reasonable expenses arising from your unlawful use of Jadwily, your violation of these Terms, or your infringement of another person's rights through content you upload or actions you take using the service.

This section does not apply to the extent that the claim results from our own unlawful conduct or liability that cannot legally be transferred to you.

21. Suspension and Termination

We may suspend or terminate your access to Jadwily if we reasonably believe that you:

Violated these Terms
Misused the service
Attempted to compromise the service or another user's information
Used Jadwily unlawfully
Created a security or fraud risk
Caused or attempted to cause significant harm to the service or other users

Where appropriate and reasonably possible, we may provide notice before taking action. We may act immediately where necessary to protect users, security, third parties, or the service.

Termination does not eliminate obligations that by their nature should continue, including intellectual property, disclaimers, liability limitations, and provisions relating to disputes.

Information associated with a terminated account will be handled according to our Privacy Policy and applicable law.

22. Global Service and Local Laws

Jadwily is headquartered and operated from Kuwait, but it is a global application.

If you access Jadwily from outside Kuwait, you are responsible for complying with the laws applicable to you and your use of the application.

Certain laws may give you mandatory rights that cannot be waived by these Terms. Nothing in these Terms is intended to remove or reduce those rights.

23. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Kuwait, except to the extent that mandatory consumer protection or other applicable laws in your country of residence provide otherwise.

Subject to mandatory rights that cannot lawfully be waived, disputes relating to these Terms or your use of Jadwily will be subject to the jurisdiction of the competent courts of Kuwait.

If you are a consumer in a jurisdiction that gives you a right to bring a claim in your local courts or provides mandatory protections that override a choice of law or jurisdiction clause, those rights remain unaffected.

24. Changes to These Terms

We may update these Terms from time to time.

When we make changes, we will update the "Last updated" date. For material changes, we may provide notice through the application or another appropriate method.

If applicable law requires your affirmative acceptance of material changes, we will request it.

Otherwise, continued use of Jadwily after the updated Terms become effective may constitute acceptance of the updated Terms to the extent permitted by law.

We maintain records of the legal document version that you accepted and the date on which you accepted it.

25. Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary to make it enforceable where possible.

The remaining provisions will continue to apply to the fullest extent permitted by law.

26. Entire Agreement

These Terms and the Privacy Policy constitute the agreement between you and Jadwily concerning your use of the application, except where additional terms are presented for particular features.

If there is a conflict between these Terms and mandatory applicable law, the mandatory law will prevail.
